
One 97 Communications Limited (NSE: PAYTM, BSE: 543512) has declared that Vijay Shekhar Sharma, who serves as the Chairman, Managing Director, and CEO, has chosen to voluntarily resign from all 2.1crore unvested Employee Stock Options (ESOPs) granted under the company’s 2019 ESOP scheme. The decision was communicated by Sharma in a letter dated April 16, 2025, and was formally approved during the Nomination and Remuneration Committee meeting held on the same day.
This voluntary forfeiture results in the cancellation of the unvested ESOPs, which are now returned to the ESOP pool. The move will lead to a one-time, non-cash accounting charge of approximately ₹492 crore in the company’s Q4 FY2025 financials. This expense will be reflected as an acceleration of ESOP costs, with an equivalent reduction in future ESOP expenses, aligning with standard accounting practices.

Paytm has stated that it will share an illustrative ESOP cost schedule along with its Q4 FY2025 results, which will be available on the company’s investor relations website: https://ir.paytm.com. The company emphasized that this decision aligns with its ongoing efforts to optimize executive compensation and align incentives with long-term shareholder value.
Sunil Kumar Bansal, Company Secretary and Compliance Officer of Paytm, confirmed the disclosure in a formal communication, highlighting the company’s transparency and adherence to SEBI regulations.
