Entero Healthcare has reappointed three independent directors, including Mr. Sujesh Vasudevan, Mr. Rajesh Shashikant Dalal, and Ms. Sandhya Gadkari Sharma, for a second term of five years, as per a BSE filing. The reappointments are subject to shareholder approval at the upcoming Annual General Meeting.
The company has also allotted 7,240 equity shares to eligible employees upon exercise of options under the Entero Employee Stock Option Plan 2023. The details of the allotment are in compliance with SEBI regulations.
The Audit Committee has recommended the reappointment of the internal auditor, with details furnished in accordance with SEBI Listing Regulations.
The company’s Board of Directors has approved the audited financial results for the quarter and financial year ended March 31, 2026, with an unmodified opinion from the auditors.
The reappointments and equity share allotments are expected to strengthen the company’s governance and incentivize employees, reinforcing Entero Healthcare‘s position in the industry.
To accelerate its geographic expansion, Entero Healthcare has finalized agreements for the 100% stake acquisition of two surgical distribution firms in Telangana.
Moving forward, the business operations of both Vishal Surgicals in Khammam and Vishal Surgicals & Medicals in Warangal will be absorbed through Entero’s subsidiary, Sai Pharma Distributors Private Limited. These transactions are structured as slump sales via a Business Transfer Agreement (BTA) and are slated for full completion by December 31, 2026.
The consolidated financial commitment for this twin acquisition stands up to ₹92.1 million, which will be settled entirely through cash consideration. Individually, the acquisition of Vishal Surgicals is valued up to ₹63 million, while the transaction for Vishal Surgicals & Medicals accounts for up to ₹29.1 million.
Both figures encompass net assets as well as performance-linked, target-based milestone considerations designed to align long-term value.
