(EPTL) has been acquired for 19.8 million Thai Baht, which is roughly equivalent to ₹4.9 million. The transaction, finalized on April 30, 2025, aligns with the company’s strategy to expand its footprint in Southeast Asia’s laminated tubes market.
The subsidiary, incorporated on February 4, 2025, will focus on manufacturing and trading laminated tubes in Thailand. EPL Limited’s acquisition of 19,800 shares (99% paid-up capital) precedes plans for its wholly-owned subsidiary, Lamitube Technologies Ltd., to acquire the remaining 200 shares (1%) by May 20, 2025, securing full ownership.

The payment of 19.8 million Thai Baht (~₹4.9 million) was executed under SEBI Listing Regulations (Regulation 30) and complies with Indian and Thai regulatory frameworks. EPTL’s establishment marks EPL Limited’s entry into Thailand’s packaging sector, targeting growth opportunities in laminated tubes-a segment central to the parent company’s core business.

The subsidiary is yet to commence commercial operations, with no historical turnover reported.
Onkar Ghangurde, Head of Legal and Compliance at EPL Limited, confirmed the transaction’s adherence to governance standards: “This acquisition underscores our commitment to strategic global expansion while maintaining regulatory transparency.”
This announcement is in accordance with SEBI’s Master Circular dated November 11, 2024, and is consistent with Schedule III of the SEBI LODR Regulations. EPL Limited has verified that there was no previous interest from its promoters or affiliated companies in EPTL, thereby maintaining the integrity of the arm’s-length transaction. Following the transaction, EPTL will be recognized as a related party of EPL Limited.
