Reliance Industries Limited (RIL) has formally disclosed the incorporation of a new entity that is set to become a significant joint venture focused on the rapidly expanding sector of enterprise Artificial Intelligence (AI) services.
The announcement was made via a regulatory filing dated October 25, 2025, submitted to the stock exchanges, including BSE Limited and the National Stock Exchange of India Limited.
RIL’s wholly owned subsidiary, Reliance Intelligence Limited (“Reliance Intelligence”), incorporated Reliance Enterprise Intelligence Limited (“REIL”) on October 24, 2025, in India. REIL currently stands as a wholly owned subsidiary of Reliance Intelligence.
Reliance Intelligence initially invested Rs. 2 crore towards the initial subscription of 20,00,000 equity shares of Rs. 10 each in the new company.
REIL is established to become the joint venture company under the amended and restated joint venture agreement with Facebook Overseas, Inc. , a wholly owned subsidiary of Meta Platforms, Inc..
The core business focus for REIL will be developing, marketing, and distributing enterprise AI services.
In terms of equity ownership within the JV, Reliance Intelligence will hold a controlling stake of 70%, with Facebook holding the balance 30% in REIL.
The partners have signaled a strong commitment to the venture: Reliance Intelligence and Facebook have jointly committed an initial investment of approximately Rs. 855 crore.
RIL confirmed that the transaction does not fall under the category of a related party transaction. Furthermore, RIL noted that no governmental or regulatory approvals were required solely for the incorporation of REIL.
The company received the intimation regarding the incorporation from Reliance Intelligence on October 24, 2025, at 1:19 p.m. (IST).
