Strategic Rationale
SWEPL, established in August 2024, is in the process of constructing a captive wind power facility in Sangli, Maharashtra. This acquisition allows Vodafone Idea to obtain affordable renewable energy while complying with regulatory requirements for captive power usage. SWEPL’s operations align with VIL’s sustainability goals, though the SPV currently reports nil turnover and is in the pre-revenue phase.

- Stake Acquired: 3,12,000 equity shares
- Consideration: Cash payment of ₹31.2 lakh
- SWEPL’s capital structure includes an authorized amount of ₹1.2 crore, with a paid-up capital of ₹88.8 lakh at the time of acquisition.
The transaction, executed at arm’s length, does not qualify as a related-party transaction. SWEPL’s emphasis on wind energy infrastructure establishes it as a vital resource for Vodafone Idea’s sustainable energy requirements in the long run.
